Job Description: This newly formed investment management company is backed by one of the most prominent investment institutions in the Gulf and is part of a leading Middle East conglomerate. Whilst its activities focus on institutional asset management, private equity, pre-IPO, IPO and listed securities with investments primarily in the MENA (Middle East North Africa) region, its mandate also includes corporate finance advisory and equity brokerage. Already supported by very influential institutional investors and with a proven track record, the company is well positioned to expand its investor and asset base. The company is now building a highly capable team of professionals to drive it forward and requires a dynamic, hands-on Head of Legal to contribute to its success. Reporting to the COO (with a dotted line to the group's Chief Legal Officer) you will work closely with the senior investment management team and with other functional areas. This is a critical role and requires an individual with a range of experience as responsibilities will be broad and include: Establishing the legal processes, policies and procedures required to support the growth of the business. Structuring complex investment transactions in the MENA region and managing the legal due diligence of the same. Drafting, negotiating and structuring a range of traditional and bespoke institutional IMA's and all other investment related agreements. Drafting, negotiating and reviewing a wide range of contracts from terms of business to side letters, distribution agreements and confidentiality agreements to name a few. Managing all legal matters pertaining to the company's subsidiaries, joint venture parties and associated funds. Developing relationships with and managing external legal counsel across the region. To qualify for this position, you will be a 7 - 10 year qualified lawyer from a common law jurisdiction. You will have extensive experience in structuring institutional asset management and private equity solutions (including segregated accounts, fund and partnership structures) from inception to closure across multiple on and off shore jurisdictions. You will ideally have an appreciation for securities laws in a brokerage context as well as compliance exposure including experience of obtaining licenses from regulatory authorities. Having worked in top tier institutions / law firms, your technical legal skills will be outstanding and your commercial acumen acute. Experience of establishing a legal function would be beneficial as would experience of the GCC / Middle East region. Arabic language skills would be highly advantageous.
